Compensatory Arrangements of Certain Officers

On October 18, 2016, the Compensation Committee of the Board of Directors (the “Compensation Committee”) of EMCORE Corporation reviewed the Chief Executive Officer's ("CEO" or Mr. Rittichier) compensation. As part of this review, the Compensation Committee engaged an independent compensation consultant to review EMCORE's executive compensation against a peer group.  The Compensation Committee determined that the CEOs base salary was significantly below the peer group for CEOs and that it was appropriate to approve an increase to his base salary to align him more closely to the peer group for CEOs.

The Compensation Committee approved an increase of Mr. Rittichier’s salary from $325,000 per annum to $425,000 per annum effective October 23, 2016.
